The original German version of these license terms constitutes the only legally binding version.

In the event of discrepancies, translation errors, differences in interpretation, or contradictions between the German version and this English translation, the German version shall prevail exclusively.

Any legal interpretation, contractual performance, and any potential dispute shall be assessed exclusively on the basis of the original German text.

§ 1 Licensor

The licensor and provider of the XBook software is:

AlexandroX
Georgios Alexandros Vassiliadis
Gereonstraße 59
52391 Vettweiß
Germany
E-mail: x@alexandrox.com

§ 2 Scope of Application

These license terms govern the use of the XBook software by the licensee.

They apply to all acquired licenses of the XBook software, regardless of whether the user is a business entity or a consumer.

Any differing terms and conditions of the licensee shall not apply unless expressly accepted in writing by the licensor.

§ 3 Subject Matter of the Agreement

The subject matter of this agreement is the granting of usage rights for the XBook software, including the documentation available at the time of purchase and any related accompanying materials.

XBook is provided as standard software.

Custom developments, individual programming services, consulting services, or training services are not part of the scope of this agreement unless expressly agreed otherwise in writing.

§ 4 Grant of Usage Rights

Subject to full payment of the agreed remuneration, the licensee receives a non-exclusive, non-transferable, perpetual right to use the purchased version of the software.

The right of use is granted exclusively within the scope of these license terms.

The granting of additional rights requires a separate written agreement.

§ 5 Domain License

Each purchased license authorizes the use of the software on one production Internet domain only.

A separate license is required for each additional production domain.

Use in development, testing, or staging environments associated with the licensed domain is permitted, provided that such environments are not publicly used for production purposes.

The licensor reserves the right to implement technical measures for activation, license verification, and domain validation.

§ 6 Copyright and Intellectual Property

All copyrights, trademark rights, database rights, design rights, and any other intellectual property rights relating to XBook remain the exclusive property of the licensor.

The purchase of a license does not transfer ownership rights to the software.

All rights not expressly granted to the licensee remain reserved by the licensor.

§ 7 Source Code

The source code of the software does not form part of the scope of this license.

There is no entitlement to disclosure, delivery, or provision of the source code.

This provision also applies to future versions, updates, and extensions of the software.

§ 8 Permitted Use

The licensee is entitled to use the software in accordance with its intended purpose on the domain covered by the license.

Backup copies may be created exclusively for archival and data protection purposes.

Mandatory rights granted to the licensee under applicable law remain unaffected.

§ 9 Prohibited Use

In particular, the licensee is prohibited from:

  • using the same license on more than one production domain;
  • assigning, renting, transferring, or selling the license key to third parties;
  • granting sublicenses for the software;
  • circumventing technical protection or license management mechanisms;
  • removing or modifying copyright notices, trademarks, or license notices;
  • using the software for unlawful purposes or in violation of applicable law.

Mandatory rights provided by applicable law, particularly those relating to software interoperability, remain reserved.

§ 10 Updates

The purchase of a license grants access to published updates for the acquired version of the software for a period of twelve (12) months from the date of purchase.

Updates may include bug fixes, security updates, performance improvements, and functional adaptations.

After the expiration of this period, the right to use the acquired version remains valid indefinitely.

After the update period has ended, there is no entitlement to future updates, new major versions, additional features, or further software developments.

§ 11 Support

The licensee is entitled to support services for a period of twelve (12) months from the date of purchase.

Support includes the analysis of reproducible errors and general assistance regarding the use of the software.

Support does not include, in particular:

  • custom software development;
  • client-specific adaptations;
  • design or appearance modifications;
  • consulting services;
  • data migrations;
  • training services.

Unless otherwise expressly agreed, no specific response times or service levels are guaranteed.

§ 12 Licensee Cooperation Obligations

The licensee is required to report errors or malfunctions without delay and to provide the licensor with all information necessary to analyze the issue.

Appropriate data backups must be performed before making changes to production systems.

The licensee is responsible for protecting access credentials and license information against unauthorized access by third parties.

§ 13 Warranty

For consumers, the statutory warranty rights provided under applicable law shall apply.

With regard to businesses and professional users, statutory warranty rights shall apply on the condition that the licensor is first given the opportunity to remedy the defect or provide an appropriate replacement performance.

A defect shall exist in particular where the software fails to provide essential functionalities in accordance with the product description made available at the time of purchase.

Minor or insignificant deviations shall not constitute a material defect.

Defects resulting from improper use, modifications made by the licensee, or use within unsupported system environments shall not give rise to warranty claims.

§ 14 Third-Party Intellectual Property Rights

To the best of the licensor’s knowledge, the software does not infringe any intellectual property rights of third parties.

Should third parties nevertheless assert claims, the licensor may, at its sole discretion, obtain the necessary usage rights or modify the software in such a manner as to eliminate the alleged infringement.

The statutory rights of the licensee shall remain unaffected.

§ 15 Liability

The licensor shall be liable without limitation in cases of intent or gross negligence.

In the event of damages resulting from injury to life, body, or health, the licensor’s liability shall be governed by the applicable statutory provisions.

In the event of a breach of an essential contractual obligation caused by slight negligence, liability shall be limited to foreseeable damages typical for this type of agreement.

An essential contractual obligation is an obligation whose fulfillment is necessary for the proper performance of the agreement and upon whose fulfillment the licensee may reasonably rely.

In all other cases, liability shall be excluded to the extent permitted by applicable law.

The above limitations of liability shall also apply to employees, legal representatives, vicarious agents, and subcontractors of the licensor.

§ 16 Data Loss

The licensor shall be liable for data loss only to the extent that the licensee has performed regular and appropriate data backups enabling the reasonable restoration of lost data.

Liability shall be limited to the costs that would have been necessary to restore the data from properly maintained backups.

§ 17 Termination and Revocation of Usage Rights

In the event of a material breach of these license terms, the licensor shall be entitled to terminate the license for good cause.

Termination may occur in particular in cases of unauthorized use on multiple domains, unlawful transfer of the license, or circumvention of license protection mechanisms.

In such case, the right of use shall terminate upon receipt of the notice of termination.

The licensee shall be obliged to immediately cease all use of the software and remove all existing installations, unless mandatory legal provisions provide otherwise.

§ 18 Data Protection

The processing of personal data shall be carried out in accordance with the licensor’s privacy policy as amended from time to time.

The privacy policy can be accessed on the licensor’s official website.

Applicable data protection laws shall remain fully effective and applicable.

§ 19 Governing Law

This License Agreement shall be governed exclusively by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

Mandatory consumer protection provisions of the country in which the consumer has their habitual residence shall remain applicable to the extent required under the relevant legislation.

§ 20 Jurisdiction

If the licensee is a business entity, a legal person under public law, or a special fund under public law, the courts at the licensor’s registered place of business shall have exclusive jurisdiction.

The licensor shall also be entitled to bring legal proceedings before any other court having jurisdiction under applicable law.

§ 21 Final Provisions

Should one or more provisions of these license terms become wholly or partially invalid, ineffective, or unenforceable, the validity of the remaining provisions shall remain unaffected.

The invalid provision shall be replaced by a legally valid provision that comes as close as possible to the economic purpose intended by the original provision.

The same shall apply in the event of any contractual gap.

Any amendments or additions to these license terms must be made in writing or in electronic form that allows appropriate evidence of their content to be retained.

§ 22 Prevailing Language

These license terms may be translated and made available in multiple languages solely for informational purposes.

The original German version constitutes the sole legally binding version of these license terms.

In the event of discrepancies, ambiguities, translation errors, contradictions, or differences in interpretation between the German version and any translation, the German version shall prevail exclusively.

Any legal interpretation, contractual performance, and any potential dispute shall be assessed on the basis of the original German version.
